1. Agreement to These Terms

These Terms of Service form a binding agreement between Star Shinning International Limited and the person or organisation that uses this website or places an order with our sensor counter. By browsing the site, by sending an enquiry, or by accepting a quotation, you agree to be bound by these terms to the extent that they apply to the activity you are carrying out.

The website is operated under the GeneWTech brand on behalf of Star Shinning International Limited. Both identifiers appear across the site because the brand is how buyers recognise the counter and the company is the entity that contracts. A reference to we, us or our in these terms means Star Shinning International Limited, and a reference to the site means the pages served at this domain.

If you are accepting these terms on behalf of an organisation, you confirm that you have the authority to bind that organisation. If you do not have that authority, you should not place an order and should pass these terms to the person who does.

These terms apply together with any written quotation, order confirmation or separate supply agreement that the company issues. Where a signed agreement between the company and a buyer conflicts with these terms, the signed agreement prevails for that buyer to the extent of the conflict.

We may revise these terms from time to time. The version published on this page at the time an order is accepted governs that order. Browsing after a revision indicates acceptance of the revised terms for future use of the site.

2. Definitions

In these terms the following definitions apply unless the context requires otherwise.

  • Buyer means the person or organisation that places an order with the company.
  • Counter means the staffed sales point of the company at its Mong Kok premises.
  • Goods means the sensor modules, cable bundles, starter kits, brackets and related parts supplied by the company.
  • Order means a request for goods submitted by a buyer and accepted by the company.
  • Quotation means a written statement of price, lead time and scope issued by the counter.
  • Counter reference means the identifier assigned to a carton, an order or a warranty record.
  • Sample pair means two units supplied for evaluation before a bulk decision.
  • Warranty period means the period stated on the order confirmation or in section 11 of these terms.
  • Business day means a day other than a Saturday afternoon, a Sunday or a public holiday in Hong Kong.

Headings are included for convenience only and do not affect the interpretation of a clause. References to writing include email and any other durable form of written communication. A reference to a clause includes its sub-clauses where the context requires.

3. Permitted Use of the Website

You may read the pages of this site, print them for internal reference and use the contact form to send an enquiry. Any other use requires our written permission.

You must not attempt to gain unauthorised access to the site, its hosting environment or any connected system. You must not introduce malicious code, conduct automated scraping at a rate that burdens the service, or use the site in a way that interferes with another visitor.

You must not present the content of this site as your own, mirror the site on another domain, or use our brand names in a way that suggests an endorsement or partnership that does not exist.

We may suspend access to the site for maintenance or for security reasons. We aim to give advance notice of planned maintenance but cannot guarantee it. A short interruption does not affect the validity of an order that has already been accepted.

The site is provided for information about our products and counter services. It is not a substitute for the technical documentation supplied by a module manufacturer, and it is not a substitute for professional engineering advice on the design of an integrated system.

4. Quotations and Pricing

A quotation is valid for the period stated on its face. Where no period is stated, the quotation is valid for fourteen days from the date of issue. After that date the counter may revise the price, the lead time or the scope in line with current stock and cost conditions.

Prices are stated in the currency shown on the quotation. Unless expressly stated otherwise, prices exclude carriage, insurance, duties and taxes, which are added where applicable. Where a buyer collects from the counter, no carriage charge applies.

Prices for assembled items, including terminated cable bundles and sealed starter kits, include a stated assembly charge. That charge reflects the labour and the testing involved, and it is itemised on the quotation so that the buyer can see what is being paid for.

A quotation is an invitation to place an order, not an offer capable of acceptance. An order becomes binding only when we issue a written acceptance or when we dispatch the goods, whichever happens first.

If a quotation contains an obvious error in price or description, we may withdraw it before acceptance and issue a corrected version. We will not rely on an obvious error to change a price after an order has been accepted.

5. Orders and Acceptance

An order should be sent in writing, preferably by email to sales@genewtech.mom, quoting the part numbers, quantities, thread sizes, cable lengths and delivery details that apply. Orders placed by telephone are confirmed in writing by the counter before they are processed.

We may decline an order where stock is not available, where a part has been discontinued, where the order appears to be fraudulent, or where the buyer has an unresolved balance from a previous transaction. If we decline an order, we will tell the buyer why and, where possible, propose an alternative.

Once an order is accepted, the quantity, the delivery window and the counter reference are fixed unless both parties agree a variation in writing. A buyer who requests a variation after acceptance may incur an additional charge where work has already been carried out.

6. Stock, Availability and Substitution

Stock figures quoted by the counter reflect the position at the time of the reply. They are not a live feed, and stock can move between the reply and the acceptance of an order. Where a buyer needs a firm reservation, the buyer should ask for one and the counter will place it against the order.

Where a listed item is not available, we may propose a substitute of equivalent or better specification. We will not substitute without the buyer approval, and we will state clearly what differs between the listed item and the proposed substitute.

Photographs and drawings on the site are indicative. Small differences in housing colour, cable marking and packaging may occur between production batches, provided that the technical specification of the item remains within its published tolerance.

Where a manufacturer changes a part without notice, we will inform affected buyers as soon as we become aware of the change and will offer a return option where the change is material to the buyer application.

7. Delivery and Collection

Goods may be collected from the counter at Rm B 2/F Silvercorp Intl Tower, 707-713 Nathan Rd, Mong Kok, Hong Kong - 999077, Hong Kong (HK) or dispatched by a carrier agreed with the buyer. Collection is available during counter hours, which are Monday to Friday between 09:00 and 18:00 and Saturday morning between 09:00 and 13:00, Hong Kong time.

Delivery windows given by the counter are estimates made in good faith. Time is not of the essence unless the order confirmation states that it is. Where a delivery is delayed, we will inform the buyer and give a revised estimate as soon as one is available.

Where goods are dispatched by carrier, the delivery address and the name of the receiving contact must be correct and complete. A redelivery charge may apply where a carrier cannot complete delivery because of an incorrect address or because nobody was available to receive the goods.

Where goods are collected in person, the buyer or the nominated collector must quote the counter reference. Goods will be released against that reference, and the signature of the collector is treated as evidence of collection.

8. Risk and Title

Risk in the goods passes to the buyer on collection from the counter or on delivery to the address agreed in the order. Risk does not pass before that point, and the buyer should inspect the carton at the point of receipt.

Title in the goods passes to the buyer only when the company has received payment in full for those goods and for any other amount due on the same account. Until title passes, the buyer holds the goods as bailee and must store them in a way that allows them to be identified as the property of the company.

If payment is not made when due, the company may require the buyer to return goods in which title has not passed. The buyer must cooperate with that requirement, and the company will credit the returned goods against the outstanding balance once they have been checked.

9. Payment Terms

Unless the order confirmation states otherwise, payment is due before dispatch for a first order and within thirty days of the invoice date for an approved account. The counter will state the payment route on the quotation.

We accept payment by bank transfer to the account named on the invoice. We do not accept cash payments above the amount permitted by local law, and we do not ask for payment to an account that differs from the one named on a written invoice.

Where a payment is late, we may charge interest at a reasonable commercial rate from the due date until the date of payment. We may also suspend further deliveries on the account until the balance is settled.

The buyer is responsible for any bank charges, currency conversion costs or taxes that apply to the payment. Where a deduction is required by law, the buyer must tell us in advance and supply the documentation needed to support it.

If a payment is made in error, please contact the sales desk immediately so that the payment can be traced and, where appropriate, returned. We will not treat a misdirected payment as settling an invoice unless the funds actually reach the company account.

10. Inspection on Receipt

The buyer should inspect the carton and the contents on receipt. The counter reference and the contents list printed on the carton should be checked against the order, and any shortage, damage or wrong item should be reported to the sales desk within five business days.

A report should include the counter reference, a description of the discrepancy and, where relevant, a photograph of the carton and its contents. Photographs help us to trace the problem to packing, handling or dispatch without a lengthy investigation.

Where a shortage or wrong item is confirmed, we will supply the missing or correct item at no additional charge, or credit the value where the buyer prefers. Where damage occurred in transit, we will make a claim with the carrier and protect the buyer from being out of pocket while the claim is resolved.

A report received after five business days is still considered where the delay is reasonable, but the buyer should understand that a late report is harder to verify and may take longer to resolve.

11. Warranty and Swaps

We warrant that the goods are of merchantable quality, fit for the purpose stated in the quotation and free from material defects in materials and workmanship for the warranty period. Unless the order confirmation states otherwise, the warranty period is twelve months from the date of dispatch or collection.

If a defect appears within the warranty period, the buyer should contact the swap counter with the counter reference and a description of the failure. Where the defect is confirmed, we will replace the item with a matching unit from stock or, where a replacement is not available, credit the value of the item.

The warranty does not cover damage caused by abnormal use, incorrect wiring, over-voltage, physical impact, immersion, modification by the buyer or use outside the environmental range stated in the manufacturer documentation. Where an item is returned under warranty and the failure is found to fall outside the warranty, the buyer will be offered a replacement at counter price.

A replacement item carries the remainder of the original warranty period. The warranty is not extended by a replacement, and a second replacement for the same fault may be refused where the fault is clearly caused by the buyer installation.

Where a buyer wishes to make a claim, the goods should be returned to the counter or sent to an address given by the desk. Carriage costs for a valid claim are borne by the company. Carriage costs for a claim that is found to fall outside the warranty are borne by the buyer.

12. Returns and Cancellations

Returns are accepted for standard stock items that are unused, undamaged and in their original packaging, provided that the request is made within fourteen days of receipt. A restocking charge may apply where the goods have been handled or where the packaging cannot be reused.

Assembled items, including terminated cable bundles and sealed starter kits, cannot be returned for credit once they have been assembled for a buyer, because the assembly and testing work cannot be recovered. Custom items made to a buyer specification are also excluded from the standard return option.

A buyer may cancel an order before it is assembled or dispatched. Where a cancellation is requested after assembly has begun, we will charge for the work already completed. Where an order has already been dispatched, the return provisions above apply.

To request a return, write to the sales desk with the counter reference and the reason for the return. The desk will issue a return authorisation and tell the buyer where to send the goods. Goods returned without an authorisation may be refused or held pending clarification.

13. Sample Pairs and Trial Units

A sample pair is supplied for evaluation only. It is drawn from production stock and carries the same warranty terms as a standard sale from the date of dispatch.

The buyer may keep a sample pair for up to thirty days for testing. After that period the sample pair is treated as a standard sale and is invoiced at the counter price for the units involved.

A sample pair that is damaged during testing may be returned with a description of the test conditions. Where the damage arose from normal test use, the counter will consider a partial credit. Where the damage arose from misuse outside the published specification, the buyer is responsible for the cost of the units.

The counter may limit the number of sample pairs supplied to a single organisation at any one time. The limit exists to keep production stock available for buyers who are ready to order, and it is applied consistently.

14. Buyer Obligations

The buyer is responsible for providing accurate part numbers, quantities, thread sizes and cable lengths. Where a part number is supplied, the buyer is responsible for its correctness. Where a part is described by a drawing or a photograph, the buyer is responsible for confirming that the drawing or photograph represents the requirement.

The buyer is responsible for ensuring that the goods are suitable for the intended application. We can describe what a module does and what it is rated for, but we do not design the system in which it is used and we cannot assess every site condition that may affect performance.

The buyer is responsible for providing a safe working environment for any counter visit and for ensuring that collectors are authorised and identifiable. Where a collector is not known to the counter, an authorisation email is required.

The buyer must comply with all applicable laws relating to the purchase, installation and use of the goods, including export control rules where the goods are shipped across a border.

The buyer must not resell the goods in a way that misrepresents their origin, specification or warranty. Where the buyer is a reseller, the buyer is responsible for its own customer relationship and for any statement it makes about the goods.

15. Installation and Fitness for Purpose

Our goods are components intended for integration into a system designed by a qualified engineer. A proximity module is not a safety device, and it must not be relied on as the sole means of protecting a person from a moving machine. Where a safety function is required, it must be implemented with equipment and procedures appropriate to that function.

We do not provide installation services. Any suggestion about mounting, wiring or testing that appears on the site or in a message from the counter is general guidance and does not replace the manufacturer instructions or the advice of the engineer responsible for the design.

Where the buyer installs the goods, the buyer is responsible for testing the installation before putting it into service. The counter can supply test notes and reference targets, but the responsibility for commissioning remains with the buyer.

Where a failure is traced to an installation error, the warranty provisions in section 11 do not apply. The swap counter will still handle the enquiry and will describe what was found so that the installation can be corrected.

16. Intellectual Property

The text, layout, graphics and code of this website are the property of Star Shinning International Limited or are used under permission. The GeneWTech brand is used by the company as its counter identifier. Other brand names that appear on the site belong to their respective owners.

You may not copy substantial parts of the site, republish its text, or use its graphics in a commercial context without written permission. Short quotations for the purpose of review or reference are permitted where the source is acknowledged.

Any technical document, datasheet or drawing supplied with the goods remains subject to the rights of the party that produced it. The buyer may use such documents for the purpose of installing and maintaining the goods, and for no other purpose without permission.

Where the buyer supplies a drawing, a photograph or a specification for the purpose of an order, the buyer confirms that it has the right to share the material. We will use the material only to supply the order, and we will not publish it without permission.

17. Limitation of Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

Subject to that paragraph, our total liability arising out of or in connection with an order is limited to the price paid for the goods in question. Where the goods are part of a larger order, the limit applies to the value of the specific goods affected rather than to the whole order.

We are not liable for loss of profit, loss of revenue, loss of business, loss of data, loss of production or any indirect or consequential loss, however caused. This exclusion applies whether the claim is framed in contract, tort, statute or otherwise.

We are not liable for a failure of the goods that results from incorrect installation, incorrect wiring, use outside the published specification or a combination with equipment that we did not supply.

The buyer should ensure that its own insurance and contractual arrangements with its customer cover the consequences of a component failure. The limit in this clause is reflected in the price of the goods, which is set for a component supply rather than for a system guarantee.

18. Indemnity

The buyer agrees to indemnify the company against any claim, loss, damage or expense that arises from the buyer use of the goods in a way that is contrary to these terms, contrary to the manufacturer instructions, or contrary to applicable law.

The buyer also agrees to indemnify the company against a claim from a third party arising from a design, a specification or an instruction that the buyer supplied for an assembled item. Where the company assembles a cable to a pinout provided by the buyer, the correctness of that pinout is the buyer responsibility.

The obligation in this clause does not apply to the extent that the claim is caused by the negligence of the company or by a defect in the goods for which the company is responsible under section 11.

Where a claim is made, the company will notify the buyer promptly and will cooperate in the defence, provided that the company is given control of the defence and the buyer does not settle the claim without written agreement.

19. Force Majeure

We are not liable for a delay or a failure to perform that is caused by an event beyond our reasonable control. Such events include natural disaster, severe weather, fire, epidemic, war, civil unrest, labour dispute, failure of a utility or transport network, and an interruption in the supply of parts from a manufacturer.

Where such an event occurs, we will notify the buyer as soon as practical and describe the effect on the order. The delivery window will be extended by a period that is reasonable in the circumstances.

If the event continues for more than sixty days, either party may cancel the affected part of the order without liability, and we will refund any payment received for goods that have not been dispatched.

20. Confidentiality

Each party will keep confidential the information of the other that is not in the public domain and that is disclosed for the purpose of an order. This includes pricing, part lists, drawings, site details and delivery schedules.

A party may disclose confidential information where it is required by law, by a court order or by a regulator, provided that the party gives the other as much notice as is practical and discloses only what is required.

The obligation of confidentiality continues for three years after the end of the commercial relationship, and it continues for as long as information remains commercially sensitive where that period is longer.

Information that is already known to the receiving party before disclosure, or that is developed independently, is not subject to this clause.

21. Privacy and Personal Information

Our handling of personal information is described in the Privacy Policy published on this site. The policy explains what we collect, why we collect it, how long we keep it and how a person can exercise rights over it.

The Privacy Policy forms part of the overall relationship described in these terms. Where a question concerns personal information rather than a commercial obligation, the Privacy Policy should be read first.

Personal information collected in the course of an order is used to fulfil the order, to maintain business records and to support the goods after delivery. It is not sold and it is not shared with advertising networks.

22. Suspension and Termination

We may suspend or terminate an account where a buyer fails to pay an invoice when due, where a buyer repeatedly breaches these terms, or where we have a reasonable suspicion of fraud. We will give notice of the action and a reason, except where giving notice would defeat the purpose of the suspension.

A buyer may close an account at any time by writing to the sales desk, provided that all outstanding amounts are settled and all goods already ordered have been delivered or cancelled in accordance with section 12.

On termination, the obligations that by their nature survive will continue. These include payment obligations, confidentiality, intellectual property, indemnity and limitation of liability.

Warranty obligations continue for the warranty period of goods that were supplied before termination, and a former buyer may still use the swap counter for those goods.

23. Governing Law and Disputes

These terms are governed by the laws of Hong Kong. The parties submit to the exclusive jurisdiction of the courts of Hong Kong for the resolution of any dispute arising out of these terms or out of an order, except where a mandatory rule of the buyer jurisdiction provides otherwise.

Before commencing proceedings, the parties will attempt in good faith to resolve the dispute through discussion. A written notice of dispute should be sent to the sales desk and to the buyer contact named on the order.

If discussion does not resolve the matter within thirty days, the parties may agree to mediation. The cost of mediation is shared equally unless the mediator decides otherwise.

Nothing in this clause prevents either party from seeking urgent relief from a court to protect its rights while a wider dispute is being resolved.

24. General Provisions

These terms, together with the order confirmation and any signed supply agreement, form the entire agreement between the parties in relation to the goods. A statement made in conversation does not form part of the agreement unless it is recorded in writing.

If a clause is found to be invalid or unenforceable, the remaining clauses continue in full force. The invalid clause will be read down to the extent necessary to make it enforceable where that is possible.

A failure to enforce a right on one occasion does not amount to a waiver of that right on a later occasion. A waiver must be given in writing to be effective.

The buyer may not assign an order without our written consent. We may assign our rights and obligations to a successor business, provided that the successor agrees to honour these terms.

Notices to the buyer may be sent to the email address given on the order. Notices to the company should be sent to sales@genewtech.mom and, for formal matters, also by post to the counter address.

These terms are written in English. Where a translation is provided for convenience, the English version governs in the event of a conflict.

25. Contact Details

Questions about these terms should be sent to the sales desk. The same contacts apply for orders, warranty claims, returns and privacy matters.
